Prior to submitting an application to the Registrar of Companies for a Certificate of Compliance, the following steps should be taken;
The foreign company should have one local (Tanzanian) representative.
This local representative is required to receive documents on behalf of the foreign company.
The Foreign Company’s Charter, Statute, or Memorandum and Articles of Association have been translated.
One of these documents is required as part of an application for a certificate of compliance. If any of these documents are not in English, a certified translator must translate them into English.
Preparation of the most recent accounts or financial report for the foreign company.
The prospective investor who wishes to obtain a certificate of compliance must ensure that the foreign company that requires existence in Tanzania has the most recent Accounts indicating the company’s financial status or condition. If these are not in place, they must be prepared by the company’s certified auditors.
Place of business in Tanzania:
Once the Certificate of Compliance is obtained, the prospective investor should have detailed information about the location of the branch in Tanzania.
